Terms of Service

1. Acceptance of Terms

By accessing or using the DataAcre platform (“Service”), operated by DataAcre Inc. (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the modified Terms.

2. Description of Service

DataAcre provides a land intelligence and marketplace platform that (a) analyzes real property for data center development suitability using publicly available data sources, (b) connects property owners with qualified buyers through a managed marketplace, and (c) facilitates communication between parties. The Service includes free property scoring, premium reports, buyer marketplace access, and related features.

3. User Accounts

You must provide accurate, complete information when creating an account. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

4. Property Analysis Disclaimer

Property scores and reports are informational screening tools only and do not constitute professional appraisals, engineering assessments, environmental audits, or legal advice. Scores are generated using publicly available data from sources including FEMA, USGS, OpenStreetMap, and utility databases. Data may be incomplete, outdated, or inaccurate. We make no warranty regarding the accuracy, completeness, or reliability of any score, report, or data point.

Users must conduct their own independent due diligence, including professional appraisals, environmental assessments, title searches, surveys, and legal review before making any decision regarding property transactions. Reliance on DataAcre scores or reports for investment, purchase, or sale decisions is at your own risk.

5. Buyer Marketplace Terms

Access to the buyer marketplace requires an approved application and active paid subscription. Subscription terms:

  • Onboarding fee: A one-time, non-refundable onboarding fee is charged upon activation.
  • Monthly subscription: Recurring monthly fee billed automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period. No prorated refunds for partial months.
  • Success fee: A 1.5% fee on the total sale price of any property transaction that was facilitated, introduced, or sourced through the DataAcre platform. This fee is due regardless of whether the transaction closes through DataAcre or through other channels, provided the initial introduction or property discovery occurred on the platform. The success fee obligation survives termination of your subscription for a period of 24 months.
  • Proof of purchase: Buyer must provide proof of purchase (settlement statement, closing disclosure, or equivalent documentation) to DataAcre within 30 days of any completed property transaction sourced through the platform.
  • First month waiver: The first monthly subscription fee is waived. Recurring monthly billing begins 30 days after account activation.

5.1 Success Fee Enforcement

Failure to disclose a completed transaction or failure to remit the 1.5% success fee within 30 days of closing will result in the following:

  • A penalty of 5% of the transaction value (in addition to the original 1.5% success fee).
  • An administrative fine of $50,000.
  • A cure period of 30 days from the date of penalty notice to remit all amounts owed.
  • If amounts remain unpaid after the 30-day cure period, interest shall accrue at a rate of 10% per day on the total outstanding balance until paid in full.
  • DataAcre reserves the right to refer delinquent accounts to third-party collections agencies and to pursue all available legal remedies, including but not limited to litigation, to recover amounts owed.

These enforcement provisions are material terms of this agreement. By activating your marketplace account, you acknowledge and agree to these terms.

We reserve the right to modify pricing with 30 days written notice. Failure to pay fees may result in account suspension or termination.

6. Property Owner Terms

By submitting property information, you represent that (a) you are the owner or authorized representative of the property, (b) the information provided is accurate to the best of your knowledge, and (c) you consent to DataAcre analyzing, scoring, and displaying your property data to qualified buyers on the platform. You may request removal of your property by contacting us at hello@dataacre.io.

7. Communication and Messaging

The platform facilitates direct messaging between buyers and property owners. All messages sent through the platform may be monitored, stored, and reviewed by DataAcre for quality assurance, fraud prevention, and dispute resolution. You agree not to use the messaging system to (a) send spam, unsolicited commercial messages, or harassment, (b) share personal contact information to circumvent platform fees, (c) engage in any illegal activity, or (d) misrepresent your identity or intentions.

8. Intellectual Property

All content, scores, algorithms, reports, analyses, designs, and technology on the DataAcre platform are the exclusive property of DataAcre Inc. and are protected by copyright, trade secret, and other intellectual property laws. You may not copy, reproduce, distribute, reverse engineer, or create derivative works from any part of the Service without express written consent. Property data submitted by users remains the property of the submitting user, but you grant DataAcre a worldwide, royalty-free, non-exclusive license to use, display, and analyze the data in connection with the Service.

9. Prohibited Conduct

You agree not to: (a) use the Service for any unlawful purpose; (b) scrape, crawl, or automatically collect data from the platform; (c) attempt to gain unauthorized access to any part of the Service; (d) interfere with or disrupt the Service or servers; (e) impersonate any person or entity; (f) share your account credentials with third parties; (g) use the Service to compete with DataAcre; or (h) circumvent any fee, restriction, or limitation imposed by the platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAACRE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO DATAACRE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless DataAcre Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) any property transaction facilitated through the platform, or (e) any content or information you provide through the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any data, property scores, or analysis provided through the Service.

13. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

15. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 4, 5 (success fee survival), 8, 10, 11, 12, 13, and 14 survive termination. You may terminate your account at any time by contacting us at hello@dataacre.io.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DataAcre Inc. regarding the Service and supersede all prior agreements, understandings, and representations.
